1. Acceptance of Terms
By accessing or using Call Stream AI's website, platform, products, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Services.
2. Description of Services
Call Stream AI provides an AI-powered conversational communication platform designed for the hospitality and guest economy industries. Our Services include but are not limited to:
- AI voice agents for inbound and outbound guest communication
- SMS, webchat, and WhatsApp messaging automation
- Reservation management and booking systems
- Guest services automation and dispatch
- Analytics, reporting, and call recording services
- Custom AI agent design and deployment
3. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these eligibility requirements.
4. Account Registration
To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
5. Permitted Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Services in violation of any applicable federal, state, local, or international law or regulation
- Transmit any harassing, defamatory, obscene, fraudulent, or unlawful content through the Services
- Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems
- Use the Services to make automated calls or send messages in violation of the Telephone Consumer Protection Act (TCPA) or similar regulations
- Reverse-engineer, decompile, or disassemble any aspect of the Services
- Use the Services to compete directly with Call Stream AI
6. AI-Generated Communications
You acknowledge that Call Stream AI's platform uses artificial intelligence to generate voice and text communications. While we strive for accuracy and natural conversation, you agree that:
- AI-generated responses may occasionally contain errors or inaccuracies
- You are responsible for reviewing and configuring AI agent behavior for your business
- Call Stream AI provides tools and expert guidance to customize AI responses, but does not guarantee specific conversational outcomes
- You will comply with all applicable disclosure requirements regarding the use of AI in customer communications
7. Fees and Payment
Certain Services may be subject to fees as set forth in a separate service agreement or order form. All fees are non-refundable except as expressly stated in your service agreement. Call Stream AI reserves the right to modify pricing with 30 days' written notice.
8. Intellectual Property
The Services, including all software, content, design, trademarks, and technology, are the exclusive property of Call Stream AI and its licensors. These Terms do not grant you any right, title, or interest in the Services except for the limited license to use the Services as described herein. You retain ownership of your data and content uploaded to the Services.
9. Data and Recordings
Call Stream AI may record, transcribe, and analyze communications processed through the Services for quality assurance, analytics, and service improvement purposes. You are responsible for obtaining all necessary consents from your guests and customers for call recording and data processing in accordance with applicable laws, including state-specific two-party consent requirements.
10. Confidentiality
Each party agrees to maintain the confidentiality of any proprietary or confidential information received from the other party. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from a third party.
11. Service Level and Availability
Call Stream AI strives to maintain 99.7% platform uptime. Specific service level commitments, credits, and remedies may be set forth in your service agreement. Scheduled maintenance windows will be communicated in advance. Call Stream AI is not liable for service interruptions caused by factors outside our reasonable control.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALL STREAM AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. CALL STREAM AI'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CALL STREAM AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Call Stream AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation.
14. Termination
Either party may terminate these Terms with 30 days' written notice. Call Stream AI may immediately suspend or terminate your access to the Services if you breach these Terms. Upon termination, your right to use the Services ceases immediately. Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.
15. Modifications to Terms
Call Stream AI reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after any modification constitutes acceptance of the revised Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Lee County, Florida.
